Terms of Service
These terms are a good-faith MVP draft pending attorney review. They will be replaced with an attorney-drafted version before the first paid customer. The Veriweld product itself is governed by a separate End User License Agreement delivered at install time. Questions: Brad@idlewiseventuresllc.com.
Scope
These terms govern your use of the website at veriweld.com (the "Site"). They do NOT govern your use of the Veriweld desktop or mobile software ("Product"). The Product is licensed under a separate End User License Agreement (EULA) presented at install time.
Who we are
The Site is operated by Idlewise Ventures LLC, an Indiana limited liability company ("Idlewise," "we," "us"). Contact: Brad@idlewiseventuresllc.com.
Acceptable use
When using the Site, you agree not to:
- Attempt to gain unauthorized access to any portion of the Site, its servers, or its data.
- Scrape the Site at a rate that degrades service for others.
- Submit false, misleading, or spam content through the lead form.
- Use the Site in any way that violates applicable law or third-party rights.
Intellectual property
All content on the Site — text, design, code, graphics, the Veriweld brand, logo, and wordmark — is the property of Idlewise Ventures LLC and protected by United States and international intellectual property laws. The Veriweld trademark is the subject of a pending U.S. trademark application (USPTO Serial No. 99771307).
You may view and share the Site for non-commercial informational purposes. You may not copy, reproduce, republish, or create derivative works without written permission.
Third-party links
The Site may link to third-party websites. We are not responsible for the content, privacy practices, or availability of those sites.
Disclaimers
The Site is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Any reliance you place on Site content is at your own risk.
Nothing on the Site constitutes legal, regulatory, or professional advice. Veriweld is software that supports inspection workflows; it is not a substitute for a qualified Certified Welding Inspector's professional judgment or for compliance with applicable codes and regulations (including, without limitation, 49 CFR § 192, API 1104, and AWS standards).
Limitation of liability
To the maximum extent permitted by law, Idlewise Ventures LLC, its members, employees, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Site.
Our total liability for any claim arising out of or relating to the Site is limited to one hundred U.S. dollars ($100.00).
Changes
We may update these terms from time to time. Changes take effect when posted to this page. The "Last Updated" date above reflects the current version. Continuing to use the Site after a change constitutes acceptance of the updated terms.
Governing law
These terms are governed by the laws of the State of Indiana, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these terms or the Site shall be resolved exclusively in the state or federal courts located in Allen County, Indiana, and you consent to the personal jurisdiction of those courts.
